At a glance

The Passport Advantage Sub-Capacity Licensing offering has been revised. IBM License Metric Tool V7.1, the new monitoring tool, replaces IBM Tivoli License Compliance Manager for IBM Software. The previously announced suspension of the tool has been lifted. IBM License Metric Tool is now required in order to qualify for sub-capacity licensing. Exceptions to this requirement:

  1. While the list of eligible virtualization technologies has been expanded, for those that are not yet supported by IBM License Metric Tool, its use will not be required until the tool provides support for those technologies.
  2. If you have less than 1,000 employees and contractors worldwide, unless you are a Service Provider, or you have contracted with a Service Provider to manage your sub-capacity server environment. (Service Providers are any entity that provides IT Services for end user customers, either directly or through a reseller.)
  3. If the total physical capacity of your servers with sub-capacity licensing is less than 1,000 PVUs.
  4. If your servers, with eligible sub-capacity products, are licensed to the full capacity of the servers.

When IBM License Metric Tool is not required, customers must maintain documentation for at least two years, which is reconciled at least quarterly, to demonstrate on-going compliance with the terms of the sub-capacity offering.

Overview

IBM License Metric Tool is a utility that is available to any active Passport Advantage® or Passport Advantage Express customer at no charge, subject to the licensing and Passport Advantage and Passport Advantage Express terms. IBM License Metric Tool helps you maintain an up-to-date inventory of the Processor Value Unit (PVU)-based software deployed in your IT environment and measure the maximum processor core capacity in PVUs available to this software. It is designed to help you to manage your IBM software licensing requirements and help you maintain an audit ready posture. IBM has also expanded the list of eligible virtualization technologies for the sub-capacity licensing offering.

In Software Announcement 207-273 , dated November 6, 2007, improvements were announced for simpler implementation of sub-capacity licensing offerings, especially for customers with more complex environments. IBM also recognized that many of our customers need a tool to help them monitor the licensing requirements of their server environments, virtualized or not. Therefore, IBM is expanding the scope of its license metric tool to cover all PVU-based software in the Passport Advantage product portfolio, not just products eligible for sub-capacity licensing. IBM License Metric Tool V7.1 is now available to address these needs.

IBM License Metric Tool assists you with keeping track of your PVU-based license requirements. The previously announced suspension of the use of the IBM license tool as a requirement for sub-capacity licensing, is now revoked and, subject to certain exceptions, use of IBM License Metric Tool is now required for sub-capacity licensing.

When available, use of IBM License Metric Tool is highly recommended for all PVU environments, and is mandatory for use with PVU sub-capacity licensing. IBM is allowing exceptions for eligible virtualization technologies that are not yet supported by IBM License Metric Tool. The use of IBM License Metric Tool will not be required with eligible virtualization technologies currently unsupported by the tool until 90 days after IBM License Metric Tool provides support for those technologies. IBM License Metric Tool will not be required if you have less than 1,000 employees and contractors worldwide, unless you are a Service Provider, or you have contracted with a Service Provider to manage your sub-capacity server environment. (Service Providers are any entity that provides IT Services for end-user customers, either directly or through a reseller.) In addition, IBM License Metric Tool will not be required if the total physical capacity of your servers with sub-capacity licensing is less than 1,000 PVUs or your servers, with eligible sub-capacity products, are licensed to the full capacity of the servers. When IBM License Metric Tool is not required, customers must maintain documentation for at least two years, which is reconciled at least quarterly, to demonstrate on-going compliance with the terms of the sub-capacity offering.

IBM License Metric Tool replaces IBM Tivoli® License Compliance Manager for IBM Software as a requirement under the terms of the Passport Advantage Attachment for Sub-Capacity licensing.

Description

IBM License Metric Tool is a utility that is available to any active Passport Advantage or Passport Advantage Express customer at no charge, subject to the licensing and Passport Advantage and Passport Advantage Express terms. The use of this tool is optional for the purpose of tracking software installations for billing and audit purposes, in server environments licensed on a full capacity basis. It provides on-going PVU monitoring and produces easy-to-understand reports containing IBM full and sub-capacity licensing entitlement metrics.

The term sub-capacity describes an environment where a machine is divided into multiple partitions, and you license IBM software based on the maximum number of processor cores, for the capacity of the partition that is available to the IBM software, instead of the full capacity of the entire machine.

Sub-capacity licensing is available for newly acquired licenses of eligible Passport Advantage software products that are licensed on a PVU basis, when deployed using eligible technologies (processor cores, operating systems, and virtualization products). The previously announced suspension of the tool requirement is now lifted and the Passport Advantage sub-capacity offering now requires the use of IBM License Metric Tool. The exceptions to this requirement are:

  1. For eligible virtualization technologies that are not yet supported by IBM License Metric Tool. Once support for an eligible virtualization technology becomes available (via fix pack, new version, release, or modification), you will be required to install IBM License Metric Tool within 90 days of that availability date. In order to be notified when IBM License Metric Tool support for eligible virtualization technologies become available, you will need to subscribe to "My Notifications" (after July 21, 2008), via

For the exceptions stated above, use of IBM License Metric Tool, while recommended, is not required for sub-capacity licensing. In lieu of IBM License Metric Tool, you are required to manually manage and track your eligible virtualization environment, and manually prepare Audit Reports documenting the virtualization capacity by product for your eligible virtualization environment during each calendar or fiscal quarter. These Audit Reports must contain the information listed in the example Audit Report available at

These Audit Reports must be prepared as frequently as is required to maintain a history of increases to virtualization capacity, but not less often than once per quarter, and must be maintained for at least two years to demonstrate ongoing compliance with these sub-capacity licensing terms.

A customer may order sub-capacity licensed products deployed in a full capacity, single partition environment (or, likewise, deployed on multiple partitions that sum to full capacity). For a description of the specific requirements to be eligible for sub-capacity licensing, refer to the Eligiblity requirements section.

The License Metric Tool is designed to provide the following capabilities:

  • Discover — IBM License Metric Tool scans your network to determine what PVU-based IBM software is installed on discovered servers and the quantities and types of activated processor cores available to them. Scans can be grouped by agents to track a specific critical area of your organization.
  • Analyze — Utilizing a software catalog and PVU table, IBM License Metric Tool calculates the server's maximum processor core capacity that is available to installed IBM software and determines the required number of PVU entitlements. If you have deployed a supported virtualization technology, the tool will provide processor core capacity information for that virtualized environment — from simple fixed partitions to complex environments with dynamic partitioning characteristics. As a key step to helping monitor compliance with IBM licensing terms, the information IBM License Metric Tool provides will enable you to compare the reported number of required PVUs to your license entitlement records.
  • Report — Audit Reports and delta comparisons presenting product offering and PVU data can be generated for viewing and printing. Each Audit Report must be signed in order to be certified, and as a result, creating a history for audit purposes. IBM customers are responsible for maintaining reports for two years, with a maximum frequency of 90 days between signed reports, and making those reports available during an audit.

The security of confidential information is addressed by the maintenance of security profiles for access to the user interface, and optionally by the encryption of data during transmission over your intranet.

Product positioning

IBM License Metric Tool is an integral part of the IBM Tivoli Asset Management for IT portfolio, consisting of IBM Tivoli License Compliance Manager, IBM Tivoli License Compliance Manager for z/OS®, and IBM Tivoli Asset Management for IT. IBM License Metric Tool delivers metric tracking and reporting for all IBM PVU-based as well as sub-capacity software. Tivoli License Compliance Manager adds support for software license management for other IBM license types as well as certain third-party software.

Statement of direction

IBM is currently planning to add support, by June 2009, in the IBM License Metric Tool for the following eligible VMware virtualization offerings that are not currently supported:

  • Single server support for VMware ESX versions 2.5, 3.0, and 3.5
  • Server farm support for VMware ESX version 2.5
  • Cluster support for VMware ESX versions 3.0 and 3.5
  • Single server support for VMware Server 1.0
  • Support for VMotion's mobility functionality for VMware ESX versions 2.5, 3.0, and 3.5
  • Support for VMware ESXi 3.5 including single server, cluster, and VMotion

Note that IBM License Metric Tool support for server farm/cluster functionality will be limited to those servers in a single, physical location. Also, support for VMotion's mobility will be limited to the movement of an active VM between physical servers, where the VM is not running in two servers simultaneously.

In addition, for those customers currently using IBM Tivoli License Compliance Manager V2.3 (D561CLL only), a fix pack necessary to bring IBM Tivoli License Compliance Manager V2.3 up to date with current Passport Advantage Sub-Capacity Licensing requirements for eligible virtualization technologies, is expected to be released by the end of 2008.

New sub-capacity customers and existing sub-capacity customers who never deployed IBM Tivoli License Compliance Manager for IBM Software V2.x

You are required to implement the IBM License Metric Tool within 90 days from the date of this announcement. Exceptions to this requirement are when:

Software Subscription and Support is included with licenses acquired through Passport Advantage and Passport Advantage Express. Product upgrades and technical support are provided by the Software Subscription and Support offering as described in the Agreements. Product upgrades provide the latest versions and releases to entitled software, and technical support provides voice and electronic access to IBM support organizations, worldwide.

IBM includes one year of Software Subscription and Support with each program license acquired. The initial period of Software Subscription and Support can be extended by the acquisition of a renewal option, if available.

Per Establishment: The IBM License Metric Tool is licensed on a "per establishment" basis. This means a customer is permitted to deploy an unlimited number of copies of the IBM License Metric Tool, only on machines owned or leased by you, that are located at a single physical site, including the surrounding campus and satellite offices, irrespective of the server environment being monitored.

Value Unit: A Value Unit is a pricing charge metric for program license entitlements, which is based upon the quantity of a specific designated measurement used for a given program. Each program has a designated measurement. The most commonly used designated measurement is a processor core. However, for select programs, there are other designated measurements, such as users or resources, which may include servers, client devices, and messages. The number of Value Unit entitlements required for a program depends on how the program is deployed in your environment and must be obtained from a Value Unit table. You must obtain a PoE for the calculated number of Value Unit entitlements for your implementation. The Value Unit entitlements are specific to a program and may not be exchanged, interchanged, or aggregated with Value Unit entitlements of another program.

A processor core is a functional unit within a computing device that interprets and executes instructions. A processor core consists of at least an instruction control unit and one or more arithmetic or logic unit. Not all processor cores require the same number of Processor Value Unit entitlements. To calculate the number of Processor Value Unit entitlements required, refer to the Processor Value Unit Table on the following Web site

With full capacity licensing, a PoE must be acquired for the appropriate number of Processor Value Units based on all activated processor cores available for use on the server.

Current licensees

Current licensees, with Subscription and Support in effect, are entitled to download IBM License Metric Tool V7.1 or place a new order for the desired distribution medium.

Basic license

You must order sub-capacity eligible products through either Passport Advantage or Passport Advantage Express. New Passport Advantage customers must enroll by completing and returning the applicable hardcopy Passport Advantage Enrollment Forms to IBM or an IBM Business Partner. Existing Passport Advantage customers must agree to the terms of a new attachment to their Passport Advantage Agreement and submit a new Passport Advantage Enrollment Form. This form, may be obtained by going to the Passport Advantage program page at

Choose "Find out more about Passport Advantage and Passport Advantage Express", then select "Licensing", and then select "Sub-capacity Licenses" to learn more about sub-capacity licensing options at IBM. There you will find links to the most current list of products and technology platforms eligible for sub-capacity licensing. IBM also has additional technical information for the key partitioning and virtualization technologies that are currently supported.

The customer originating site on a Passport Advantage Agreement must enroll under sub-capacity terms, or must add sub-capacity terms, before any additional site under that Passport Advantage Agreement can place an order for sub-capacity products. Additional sites are not able to accept sub-capacity terms for a subset of their Passport Advantage agreement site structure. The enrollment forms and sub-capacity attachment links are also available via the Passport Advantage and Passport Advantage Express enrollment and e-commerce Web pages. All completed enrollment forms must continue to be faxed to the Customer Fulfillment Organization (CFO) prior to placing an order for sub-capacity products. Orders for sub-capacity products through Business Partners will be accepted via fax or EDI.

Passport Advantage Express acceptance wording will be updated, at a future date, to include reference to the updated sub-capacity terms. An updated copy of the agreement is generated with the order documents from the IBM order fulfillment systems.

Required and entitled license capacity

The quantity of each Passport Advantage license needed to satisfy applicable terms is referred to as the required license capacity. The quantity of each Passport Advantage license that you have acquired is referred to as your entitled license capacity. For each applicable license, you should compare your required license capacity to your entitled license capacity to ensure that you maintain the required number of software licenses to comply with the terms and conditions of the agreement. You should plan for and obtain required future license capacity on an on-going basis to ensure compliance. Regardless of whether or not you place an order for additional capacity, you will be liable for excess capacity that is not properly licensed.

Eligibility requirements

In order to be eligible for sub-capacity licensing terms on select Passport Advantage software, you, the customer, must agree to the terms in the sub-capacity attachment. Existing Passport Advantage customers who have yet to accept sub-capacity terms, accomplish this by submitting a new Passport Advantage Enrollment Form. The updated attachment can be viewed at

Any active Passport Advantage or Passport Advantage Express customer can order the IBM License Metric Tool, at no charge, to assist you with your full capacity PVU-based licensing.

License requirements

Sub-capacity licenses for select Passport Advantage software are offered on a Processor Value Unit basis. The quantity of sub-capacity licenses required in a partition is equal to the maximum number of processor cores contained in that partition where the software product is available times the number of PVUs required for that processor technology (for example, in a partition with four processor cores, you multiply the appropriate number of PVU licenses for each product in the partition based on the type of processor core times four cores to determine the aggregate PVU license quantity required). Unless otherwise restricted by the license agreement, PVU licenses for a particular product may be transferred to another machine, however additional PVUs may be required based on the PVU rating of the processor core.

Distributed sub-capacity methodology

For products eligible for sub-capacity licensing installed in an eligible partitioning technology, a Proof of Entitlement (PoE) must be acquired on a server-by-server basis, based upon the lower of:

  • The highest number of activated processor cores in the partition available to the product or
  • The highest number of activated processor cores on the server

Conversion of full-capacity licenses to sub-capacity licenses

If certain conditions are met, you may be allowed to convert your full capacity PVU licenses to sub-capacity PVU licenses for eligible software programs. Prior to making any changes to your existing environment, you must contact your IBM software representative or your IBM Business Partner. This updates and replaces the conversion terms included in sub-capacity announcement letters Software Announcement 205-093 , dated April 19, 2005, and Software Announcement 206-090 , dated April 25, 2006.

Ordering information for Passport Advantage

Passport Advantage allows you to have a common anniversary date for Software Subscription and Support renewals, which can simplify management and budgeting for eligible new versions and releases (and related technical support) for your covered products. The anniversary date, established at the start of your Passport Advantage Agreement, will remain unchanged while your Passport Advantage Agreement remains in effect. New software acquisitions will initially include twelve full months of Software Subscription and Support. Software Subscription and Support in the second year (the first year of renewal) can be prorated to be coterminous with your common anniversary date. Thereafter, all Software Subscription and Support will renew at the common anniversary date for twelve full months of maintenance.

Refer to the IBM International Passport Advantage Agreement and to the IBM Software Support Handbook for specific terms relating to, and a more complete description of, technical support provided through Software Subscription and Support.

The quantity to be specified for the Passport Advantage part numbers in the following table is per required number of Processor Value Units. To order for Passport Advantage, specify the desired part number and quantity.

With the availability of the IBM License Metric Tool, you have the option of monitoring the processor core capacity of the server with IBM software licensed as full capacity on a continuous basis. The Passport Advantage sub-capacity offering once again requires the use of the IBM License Metric Tool as the previously announced suspension of the tool requirement has now been lifted. Exceptions to this requirement:

  1. IBM License Metric Tool does not support your eligible virtualization technology. Once support for an eligible virtualization technology becomes available (via fix pack, new version, release, or modification), you will be required to install IBM License Metric Tool within 90 days of that availability date. In order to be notified when IBM License Metric Tool support for eligible virtualization technologies become available, you will need to subscribe to "My Notifications" (after July 21, 2008), via

  2. If you have less than 1,000 employees and contractors worldwide, unless you are a Service Provider, or you have contracted with a Service Provider to manage your sub-capacity server environment. In the latter two cases, the use of IBM License Metric Tool is required. (Service Providers are any entity that provides IT Services for end-user customers, either directly or through a reseller.)
  3. If the total physical capacity of your servers with sub-capacity licensing is less than 1,000 PVUs.
  4. If your servers, with eligible sub-capacity products, are licensed to the full capacity of the servers.

For the exceptions stated above, use of IBM License Metric Tool, while recommended, is not required for sub-capacity licensing. In lieu of IBM License Metric Tool, you are required to manually manage and track your eligible virtualization environment, and manually prepare Audit Reports documenting the virtualization capacity by product for your eligible virtualization environment during each calendar or fiscal quarter. These Audit Reports must contain the information listed in the example Audit Report available at

These Audit Reports must be prepared as frequently as is required to maintain a history of increases to virtualization capacity, but not less often than once per quarter, and must be maintained for at least two years to demonstrate ongoing compliance with these sub-capacity licensing terms.

You should plan for and acquire required future license capacity on an on-going basis to ensure compliance. If you exceed your authorized use level of sub-capacity at any time, you are required to submit a purchase order to IBM (or a Business Partner) for the PVU-based licenses required for compliance at the time the authorized use level was exceeded.

Limited warranty applies: Yes

Limited warranty: IBM warrants that when the program is used in the specified operating environment, it will conform to its specifications. The warranty applies only to the unmodified portion of the program. IBM does not warrant uninterrupted or error-free operation of the program or that IBM will correct all program defects. You are responsible for the results obtained from the use of the program.

IBM provides you with access to IBM databases containing information on known program defects, defect corrections, restrictions, and bypasses at no additional charge. For further information, consult the IBM Software Support Handbook found at

IBM will maintain this information for at least one year after the original licensee acquires the program (warranty period).

Program technical support: Technical support of a program product will be available for a minimum of five years from the general availability date, as long as your Software Subscription and Support (also referred to as Software Maintenance) is in effect. This technical support allows you to obtain assistance (via telephone or electronic means) from IBM for product-specific, task-oriented questions regarding the installation and operation of the program product. Software Subscription and Support (Software Maintenance) also provides you with access to updates, releases, and versions of the program. You will be notified, via announcement letter, of discontinuance of support with 12 months' notice. If you require additional technical support from IBM, including an extension of support beyond the discontinuance date, contact your IBM representative or IBM Business Partner. This extension may be available for a fee.

Authorization for use on home/portable computer: You may not copy and use this program on another computer without paying additional license fees.

IBM includes one year of Software Subscription and Support (Software Maintenance) with each program license acquired. The initial period of Software Subscription and Support (Software Maintenance) can be extended by the acquisition of a renewal option, if available.

While your Software Subscription and Support (Software Maintenance) is in effect, IBM provides you assistance for your routine, short duration installation and usage (how-to) questions, and code-related questions. IBM provides assistance via telephone and, if available, electronic access, only to your information systems (IS) technical support personnel during the normal business hours (published prime shift hours) of your IBM support center. (This assistance is not available to your end users.) IBM provides Severity 1 assistance 24 hours a day, 7 days a week. For additional details, consult your IBM Software Support Handbook at

Software Subscription and Support (Software Maintenance) does not include assistance for the design and development of applications, your use of programs in other than their specified operating environment, or failures caused by products for which IBM is not responsible under the applicable agreements.
