Value Unit-based pricing
Value Unit pricing for eligible IBM eServer® System z IBM International Program License
Agreement (IPLA) programs enables a lower cost of incremental growth and enterprise aggregation.
Each System z IPLA product with Value Unit pricing, has a single price per Value Unit and a
conversion matrix, called Value Unit Exhibit, for converting from some designated measurement to
Value Units. Most commonly millions of service units (MSUs) is the measurement designated by IBM to
be converted to Value Units. Some other measurements are engines or messages. Since MSUs are the
most common measurement, that measurement will be used for the remainder of this description.
Value Unit pricing offers price benefits for you. For each System z IPLA program with Value Unit
pricing, the quantity of that program needed to satisfy applicable IBM terms and conditions is
referred to as the
required license capacity.
Each of the various Value Unit Exhibits stipulate that the larger your required license capacity,
the fewer Value Units per MSU you will need. Value Unit Exhibits are uniquely identified by a
three-digit code and referred to using the nomenclature VUExxx, where xxx is the three-digit code.
Subsequent acquisitions of Value Unit priced programs offer additional price benefits. The quantity
of each System z IPLA program that you have acquired is referred to as
entitled license capacity.
To increase your entitled license capacity for a System z IPLA program, the calculation to
determine additional needed Value Units is based upon the number of Value Units already acquired.
For each System z IPLA program with Value Unit pricing, you should:

Determine the required license capacity, in MSUs

Aggregate the MSUs across the enterprise

Convert the total MSUs to Value Units, using the applicable Value Unit Exhibit

Multiply the price per Value Unit by the total number of Value Units to determine the total cost

Planning information
Customer responsibilities:
You must provide at least the minimum hardware and software environments in which the licensed
programs operate.
You must identify the machine on which they will install WebSphere Message Broker for z/OS or
Message Broker with Rules and Formatter Extension for z/OS. Then identify the MSU tier in which you
fit and calculate the number of Value Units for the required Use Authorization.
Before operating the system, you must confirm that you have sufficient Use Authorization to use the
system.
You must purchase the appropriate number of Value Units before using the system.
Problem determination (PD) is a customer responsibility. PD is an assessment of whether a problem
is caused by hardware or software. It is complete only when the cause of the problem is identified.
This assessment includes examination of available symptoms using the PD procedures documented in the
product.
Problem source identification (PSI) is a customer responsibility. PSI begins when software is
determined to be the source of the problem. It includes tracing the source of the program to a host
system control program (SCP), an application program, or another source. Assisting the client with
PSI is an IBM service and support responsibility.

Sub-capacity processor
A processor (commonly called a CPU or core) is a functional unit within a computing device that
interprets and executes instructions. A processor consists of at least an instruction control unit
and one or more arithmetic or logic unit. With multicore technology, each core is considered a
processor. For programs eligible for sub-capacity licensing, a PoE must be acquired for all
activated processors available for use in each partition (utilizing eligible partitioning
technologies) where the program runs. Refer to the International Passport Advantage® Agreement

Subscription and Support
To receive voice technical support via telephone and future releases and
versions at no additional charge, Subscription and Support must be
ordered. The capacity of Subscription and Support (Value Units) must be
the same as the capacity ordered for the product licenses.
To order, specify the Subscription and Support program number (PID)
referenced preceding and the appropriate license or charge option.
IBM is also providing Subscription and Support for these products via a
separately purchased offering under the terms of the IBM International
Agreement for Acquisition of Software Maintenance. This offering:

Includes and extends the support services provided in the base support to
include technical support via telephone.

Entitles you to future releases and versions, at no additional charge.
Note that you are not entitled to new products.
When Subscription and Support is ordered, the charges will renew
automatically annually unless cancelled by you.
The combined effect of the IPLA license and the Agreement for Acquisition
of Software Maintenance gives you rights and support services comparable
to those under the traditional ICA S/390® and zSeries license or its
equivalent. To ensure that you continue to enjoy the level of support
you are used to in the ICA business model, you must order both the
license for the program and the support for the selected programs at the
same Value Unit quantities.
Single version charging:
To elect single version charging, you must notify and identify to
IBM the prior program and replacement program, and the machine the
programs are operating on.
Customized offerings
Product deliverables are shipped only via Customized Offerings (for example, CBPDO, ServerPac,
SystemPac®).
CBPDO and ServerPac are offered for Internet delivery, where ShopzSeries product ordering is
available. Internet delivery of ServerPac may help improve automation and software delivery time.

Media type for this software product is chosen during the Customized
Offerings ordering process. Based on your customer environment, it is
recommended that the highest possible density tape media is selected.

The information provided in this announcement letter is for reference and
convenience purposes only. The terms and conditions that govern any
transaction with IBM are contained in the applicable contract documents
such as the IBM International Program License Agreement, IBM
International Passport Advantage Agreement, and the IBM Agreement for
Acquisition of Software Maintenance.
Licensing:
IBM International Program License Agreement including the License
Information (LI) document and PoE govern your use of the program. PoEs
are required for all authorized use.
Agreement for acquisition of Software Maintenance:
The IBM Agreement for Acquisition of Software Maintenance
(Z125-6011) applies for maintenance and does not require customer
signatures.
These programs are licensed under the IBM Program License Agreement
(IPLA) and the associated Agreement for Acquisition of Software
Maintenance, which provide for support with ongoing access to releases
and versions of the program. These programs have a one-time license
charge for use of the program and an annual renewable charge for the
enhanced support that includes telephone assistance (voice support for
defects during normal business hours), as well as access to updates,
releases, and versions of the program as long as support is in effect.
S/390 and System z IBM Operational Support Services SoftwareXcel
is an option if you want added services.

Limited warranty:
IBM warrants that when the program is used in the specified
operating environment, it will conform to its specifications. The
warranty applies only to the unmodified portion of the program. IBM does
not warrant uninterrupted or error-free operation of the program or that
IBM will correct all program defects. You are responsible for the
results obtained from the use of the program.
IBM provides you with access to IBM databases containing information on
known program defects, defect corrections, restrictions, and bypasses at
no additional charge. Consult the IBM Software Support Guide for further
information at
IBM will maintain this information for at least one year after the
original licensee acquires the program (warranty period).
Program support:
Enhanced support, called Subscription and Support, includes
telephone assistance, as well as access to updates, releases, and
versions of the program as long as support is in effect. You will be
notified of discontinuance of support with 12 months" notice.
Money-back guarantee:
If for any reason you are dissatisfied with the program and you are
the original licensee, you may obtain a refund of the amount you paid for
it, if within 30 days of your invoice date you return the program and its
PoE to the party from whom you obtained it. If you downloaded the
program, you may contact the party from whom you acquired it for
instructions on how to obtain the refund.
For clarification, note that for programs acquired under any of IBM"s
On/Off Capacity on Demand (On/Off CoD) software offerings, this term does
not apply since these offerings apply to programs already acquired and in
use by you.

Use of components on separate machines
The various program-unique terms set forth or referred to apply to the program and to its components
as identified below, and are in addition to, and may modify, those of the IBM IPLA.
1. Charging and license use management
Charges for authorized use of the Program are based on processor Value Units. The use of the
program on any server machine requires 100 Value Units to be acquired (from IBM or an IBM Business
Partner) for each processor or symmetric multiprocessor contained in the server machine on which any
copy of the program is to run. Value Units are required for every server machine on which the
Broker component of the program is installed. You are also required to obtain a corresponding
number of additional Value Units if the program installation is moved to a server machine with a
greater number of processors, or if any additional processors are added to the server machine on
which the program is installed. Failure to comply with requirement for the appropriate number of
Value Units will invalidate the terms of this license.
On distributed platforms, License Use Management software is used to monitor compliance. You should
retain your original product and all Passport Advantage documents as PoE.
No separate server authorizations are required to license any other component part of the program.
Specific restrictions also apply to various components of the program, as described below.
2. DataDirect ODBC Driver Manager components
Portions of this program are copyrighted by DataDirect Technologies, 1991 2003.
3. DB2 Restricted Enterprise Edition
Limited use license DB2 Restricted Enterprise Edition: DB2 Restricted Enterprise Edition includes
portions of DB2 Enterprise Server Edition V9.1. You are authorized to install and use one copy of
this program only in association with your licensed use of WebSphere Message Broker for the storage
and management of data used and generated by the other IBM program, and not for other data
management purposes. DB2 Restricted Enterprise Edition is to be used only by the internal
components of the program. For example, DB2 Restricted Enterprise Edition can be used as a
repository for configuration information generated by WebSphere Message Broker and cannot be used to
build or extend custom applications that store business data; this license does not permit inbound
connections to the database from other applications for queries or report generation. You are not
authorized to install any separately purchasable features that are available for DB2 unless You
purchase a fully licensed version of DB2.
If you use the program with a separately licensed DB2 V9 data server, the license terms of that data
server take precedence over these terms.
The supplied limited-use license of DB2 can be installed on a separate server from the Broker
Runtime, subject to the processor Value Unit count of the server that runs the DB2 instance being
less than or equal to the processor Value Unit count of the purchased licenses of WebSphere Message
Broker. The installation and use of this DB2 license must remain restricted to the information
related to the deployed WebSphere Message Broker server run times.
You are allowed to deploy the supplied license of DB2 on a separate server from the Broker, to aid
the centralized management of your deployment and to assist in your high availability configuration.
Note, however, that DB2 must still be used only with data generated by, and used by, the Broker.
DB2 must not be used with other user-generated data.
Your use of the DB2 and DB2 Run-time Client components is subject to the terms and conditions of the
license agreement which accompany the components except as limited in this license. The DB2
components may not be used for any other purpose. Contact your DB2 reseller if your needs exceed
this license agreement to obtain a full DB2 and DB2 Run-Time Client program.
4. Derby SDK
The program includes an embedded version of Derby SDK V10.2 (or components of Derby SDK V10.2).
Your use of Derby SDK includes the right to copy, modify, prepare derivative works of, and embed
Derby SDK into applications you develop, and to redistribute Derby SDK, as modified, as part of
those applications, provided that you: (1) agree to defend, hold harmless and indemnify IBM from and
against any and all claims, liabilities, damages, expenses and costs arising out of or in connection
with your use or distribution of the Program, modifications thereof, or your application program(s),
and (2) distribute your applications under a license that states (i) that IBM (or any suppliers of
code included in your application) assumes no responsibility and extend(s) no warranties covering
its (their) code, (ii) disclaims implied warranties and any indemnities for the IBM (or any
suppliers") code, and (iii) extends to IBM (or any suppliers of code included in your application)
the same cumulative limits of liability protections that you provide for yourself in your license.

5. Message Brokers Toolkit
The Message Brokers Toolkit included with the program includes a copy of IBM Rational Application
Developer (RAD) and WebSphere Eclipse Platform components. You are authorized to use Rational
Application Developer and WebSphere Eclipse Platform components only with the Message Brokers
Toolkit, and not for other purposes. (To use IBM Rational Application Developer and IBM WebSphere
Eclipse Platform components for any other purpose, you must acquire a separate (unrestricted) PoE
that authorizes such use of the Rational Application Developer and WebSphere Eclipse Platform
software product.)
6. Rules and Formatter
The WebSphere Message Broker with Rules and Formatter Extension includes certain "Rules and
Formatter" material supplied under license by Sybase Inc. ("R+F Code").
The following apply in respect of the R+F Code:
You may not assign or transfer the R+F Code to any other end user;
Sybase Inc. DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE USE OF THE R+F CODE INCLUDED IN THE
PROGRAM, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR
PURPOSE; and
The aggregate liability of Sybase Inc to you for all claims relating to the R+F Code shall not
exceed the amount paid by you for the program.
7. WebSphere Adapters
The program contains the following WebSphere Adapters packaged as native message processing nodes:

You are authorized to use the Adapter nodes on the same machine as the program only in association
with your licensed use of the program. You are authorized to use the Adapter nodes only for "unit
testing" with a test run-time environment provided in the program. For the purpose of these
program-unique terms, "unit testing" consists of testing message flows that use one or more Adapter
nodes to connect to their related applications to confirm the message flows function appropriately.
See also "Unit Testing" below.
Any other use of the Adapter nodes with the program requires a separate authorization, acquired
either on a per-application-instance or per-establishment basis.
With a "per-establishment" authorization for an WebSphere Adapter, you are permitted to deploy an
unlimited number of copies of the licensed adapter components to multiple brokers owned or leased by
you that are located at a single physical site, including the surrounding campus and satellite
offices. With a per-application-instance authorization for an WebSphere Adapter, you are permitted
to deploy an unlimited number of copies of the licensed adapter components to one broker.
8. WebSphere MQ
WebSphere MQ (distributed environments only): The program includes a limited-use license in respect
of WebSphere MQ V6.0. For each PoE you are authorized to install and use WebSphere MQ V6.0 in
association with your use of the program components, as follows:

For every deployment of the Broker Runtime component, you are authorized to install and use one
license of WebSphere MQ V6.0 in accordance with the terms and conditions of that program.

You are authorized to install and use one WebSphere MQ V6.0 license for each deployment of the
Configuration Manager and User Name Server components. This license must be used only for messages
generated by the components of the program (the Configuration Manager and User Name Server), and not
for any other purpose (to use WebSphere MQ V6.0 for any other purpose, you must acquire a separate
(unrestricted) Proof of Entitlement which authorizes such use of a WebSphere MQ V6.0 software
product).
9. WebSphere MQ Everyplace
The program includes a copy of WebSphere MQ Everyplace version 2.0.2 (WebSphere MQ Everyplace). For
each PoE, you are authorized to install and use WebSphere MQ Everyplace in association with your use
of the Program, as follows:

You are authorized to install a maximum of one copy of WebSphere MQ Everyplace for use with the
program.

You are authorized to use WebSphere MQ Everyplace only with messages generated for the program, and
not for other purposes. (To use WebSphere MQ Everyplace for any other purpose, you must acquire a
separate (unrestricted) PoE that authorizes such use of a WebSphere MQ Everyplace software product.)
10. LPEX V3.2
IBM has made certain modifications to the Eclipse Code for the LPEX component, which modifications
are referred to as the "Eclipse Platform Classes'. The Eclipse Platform Classes were not
contributed back to the Eclipse Foundation because they are unique to this Program and its LPEX
component. The source code for the Eclipse Platform Classes can be obtained from IBM via an e-mail
request to daniel@ca.ibm.com.
11. Microsoft code
The program contains some redistributable software from Microsoft Corporation. In addition to other
terms and conditions stated in this License Agreement, you may not reverse engineer, decompile or
disassemble such software, except and only to the extent that it is expressly permitted by
applicable law notwithstanding this limitation.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MICROSOFT OR ITS SUPPLIERS BE
LIABLE FOR ANY SPECIAL, INCIDENTAL, PUNITIVE, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER

12. Unit testing
A. For distributed platforms
The program license authorizes multiple developers to install one copy of the Broker Runtime, the
Toolkit, WebSphere MQ and DB2 on a single Microsoft Windows machine or a single Linux machine
running on Intel® per developer, for purposes of "unit testing'. "Unit testing" is limited to
testing of configurations written or generated by such developer to confirm that such configuration
functions as designed. Such authorized "unit testing" DOES NOT include any of the following:
1. Testing message flows on servers separate from the developer"s machine. The developer may
create local message flows that connect to remote servers hosting non-production applications and
services in a unit-test environment;
2. Exchanging messages with any production application or system, or
3. Simulating production workloads for the purpose of testing scalability of any code, application
or system in an integration test environment
B. For the z/OS platform
The program license authorizes multiple developers to install one copy of the Broker Runtime and the
Toolkit on a single Microsoft Windows machine or a single Linux machine running on Intel per
developer for purposes of "unit testing." "Unit testing" is limited to testing of configurations
written or generated by such developer to confirm that such configuration functions as designed.
Such authorized "unit testing" DOES NOT include any of the following:

component, or on one Microsoft Windows or Linux x86 machine.
Software Maintenance applies

offering will provide support for those operating systems and associated products that are not

with these terms equals the MSU-rated capacity of the machines where the System z IPLA program
executes.

program with these terms equals the license capacity of the applicable
monthly license charge (MLC) program. This MLC program is called the

Sub-capacity mainframes:
In cases where sub-capacity is applicable, the following terms

Execution-based: The required capacity of a System z IPLA sub-capacity
program with these terms equals the capacity of the LPARs where the
System z IPLA program executes.
z/OS-based: The required license capacity of a System z IPLA program with
these terms equals the license capacity of z/OS (and z/OS.e) on the
machines where the System z IPLA program executes.
Reference-based: The required license capacity of a System z IPLA program

System z IPLA sub-capacity programs with reference-based terms adds value
to the parent program across the environment, regardless of where in the
environment the System z IPLA program executes.
An environment is defined as either a single or stand-alone machine or a
qualified Parallel Sysplex®. You may have one or more different
environments across the enterprise. To determine the required license
capacity for each System z IPLA program with referenced-based terms, each
environment should be assessed separately.
When a System z IPLA sub-capacity program with reference-based terms is
used in a qualified Parallel Sysplex environment, the required license
capacity of the System z IPLA program must equal with the license
capacity of the parent program across the Parallel Sysplex. Qualified
Parallel Sysplex refers to one:

Sub-capacity eligibility:
To be eligible for sub-capacity charging on select System z IPLA
programs, you must first implement and comply with all terms of either
sub-capacity Workload License Charges (WLC) or sub-capacity Entry
Workload License Charges (EWLC). To implement sub-capacity WLC or EWLC,
a machine must be System z (or equivalent). On that machine:

All instances of the OS/390® operating system must be migrated to the
z/OS (or z/OS.e) operating systems

Any licenses for the OS/390 operating system must be discontinued

All instances of the z/OS operating (or z/OS.e) systems must be running
in z/Architecture (64-bit) mode
For that machine, you must create and submit a Sub-Capacity Report to IBM
each month. Sub-Capacity Reports must be generated using the

To be eligible for On/Off CoD pricing, you must be enabled for temporary capacity on the

complementary, elements: Electronic Services news page and Electronic Services Agent.
The Electronic Services news page is a single Internet entry point that replaces the multiple entry
points traditionally used to access IBM Internet services and support. The news page enables you to
gain easier access to IBM resources for assistance in resolving technical problems.
The Electronic Service Agent is no-additional-charge software that resides on your server. It
monitors events and transmits system inventory information to IBM on a periodic, client-defined
timetable. The Electronic Service Agent automatically reports hardware problems to IBM. Early
knowledge about potential problems enables IBM to deliver proactive service that may result in
higher system availability and performance. In addition, information collected through the Service
Agent is made available to IBM service support representatives when they help answer your questions
or diagnose problems. Installation and use of IBM Electronic Service Agent for problem reporting
enables IBM to provide better support and service for your IBM server.
