In response to your feedback, it is now simpler to do business with IBM. You now pay for IBM software licenses on a per-processor basis for IBM WebSphere Business Integration Modeler and Monitor V4.2.3. This is a change from the per-capacity-unit model of charging for software licenses. You should expect no general increase or decrease in net costs. However, any change in cost will depend on your unique circumstances, relating to the number of processors in your machines. The change is effective now for all new orders but does not affect existing licenses until the next maintenance renewal. If you do not have a maintenance contract, you are not affected by this change and should continue using your programs under the capacity unit terms.

With IBM WebSphere Business Integration Modeler and Monitor products, you will be able to maximize business effectiveness by optimizing processes that give you competitive leadership in today's e-business environment. IBM WebSphere Business Integration Modeler and Monitor products, formerly sold under the name IBM Holosofx Modeler and Monitor, now offer new features and enhancements to take advantage of the process integration capabilities of IBM's WebSphere Business Integration portfolio. Integration with IBM WebSphere Business Integration Server helps customers become on-demand e-businesses by modeling, integrating, connecting, monitoring, and managing enterprise-wide business processes. With this release of IBM WebSphere Business Integration Workbench, customers will be able to include collaborations from the WebSphere InterChange Server in their process models, as well as view and edit process models and business objects from within the WebSphere Business Integration System Manager (CSM). Customers can now experience an integrated tooling environment by launching either the WebSphere Business Integration Workbench or the Process Designer from within either tool. Also new to this version is the ability to deploy the IBM WebSphere Business Integration Monitor on mainframe-class servers running the secure, stable, and scalable z/OS operating system.

IBM WebSphere Business Integration MonitorIBM WebSphere Business Integration Monitor helps track processes and business performance measures and generate statistical reports for analysis based on actual data. In addition, IBM WebSphere Business Integration Monitor facilitates completion of the cycle of business process improvement by feeding actual information back to IBM WebSphere Business Integration Workbench for further analysis and process redesign. This provides the basis for business process management, which leads the process into a continuous improvement cycle. The basic function of IBM WebSphere Business Integration Monitor is to track events generated by WebSphere MQ Workflow and apply them to a process model that was developed in IBM WebSphere Business Integration Workbench. The process model serves as a basis for visualizing the performance of the process as it happens, in real time. Customer Responsibilities: It is strongly recommended that IBM Software Services or Business Partners be used to assist in the deployment and maintenance of the IBM WebSphere Business Integration Modeler and Monitor solution. To implement an IBM WebSphere Business Integration Modeler and Monitor solution, the following skills are required:

This program, when downloaded from a Web site, contains the applicable IBM license agreement, and License Information (LI), if appropriate, which will be presented for acceptance at the time of installation of the program. The license and LI will be stored in a directory such as LICENSE.TXT for future reference. Ordering InformationThis product is available only via Passport Advantage. It is not available as shrinkwrap. Product Identifier Description: IBM WebSphere Business Integration Modeler and Monitor V4.2.3 (5724-E46) Product Category: WebSphere Business Integration In response to customer feedback, IBM continues to simplify the way we do business with customers. Customers will now pay for IBM software licenses per processor for IBM WebSphere Business Integration Modeler and Monitor V4.2.3. This is a change from the per-capacity-unit model. While we expect no general increase or decrease in net costs to customers, whether there is any change in cost depends on each customer's unique circumstances, specifically relating to the number of processors in the machine. The change is effective immediately for all new orders but does not affect existing licenses until their next maintenance renewal. Customers who do not have maintenance are not affected and should continue using their programs under the capacity unit terms. Charges for authorized use of the program are based on Processor License Units (PLUs). The use of the program on any server machine requires one PLU to be acquired (from IBM or an IBM Business Partner) for each processor contained in the server machine on which any copy of the program is to run. PLUs are required for every server machine on which the program is installed. You are also required to obtain a corresponding number of additional PLUs if the program installation is moved to a server machine with a greater number of processors, or if any additional processors are added to the server machine on which the program is installed. Failure to comply with the requirement for the appropriate number of PLUs will constitute a material breach of this license and will automatically terminate your rights hereunder. Licensing for machines that have five or more processors are eligible for Special Bid. Contact your IBM representative. Also refer to the Terms and Conditions supplied with your updated copy of the program. For details on the licensing information, refer to: TransferabilityUsers who upgrade from an earlier release of the program under Passport Advantage can use their existing capacity units and then acquire additional PLUs to satisfy the requirements given below. The capacity units from the previous release will be converted to PLUs (at a rate of two capacity units to one PLU) and counted as all or part of the customer entitlement. Any "spare" capacity units can be used toward other program entitlement at the time of renewal reconciliation, but are not refundable. Capacity units for the products that have been announced as moving to PLUs will be withdrawn from marketing on May 5, 2003. Users should retain their original product and capacity units as Proof of Entitlement.
Note that the pricing is based on the number of processors in the server
machine, regardless of whether they are all being used to execute the
program.
MigrationExisting customers will receive updated media packs soon after the products become generally available under the new terms. Migration for customers who have existing capacity unit license entitlements will be at the time of maintenance renewal. A standard conversion rate of two capacity units to one processor license unit will be used. In the majority of situations, this conversion will ensure that users have the correct number of licenses on the processor license unit metric. However, where machines have five or more processors (and in a few other cases), the standard conversion will not give the required number of licenses. In this case, when contacted by IBM, you should discuss acquiring additional licenses in order to be correctly licensed under the new pricing model. You will not be charged for additional licenses granted under this process, but maintenance renewal prices will be based on the number of licensed processors. Program Services: Program services will be available for a period of one year following the effective marketing withdrawal date, which will be announced at a future date. Money-Back Guarantee: If for any reason you are dissatisfied with the program, return it within 30 days from the invoice date to the party (either IBM or its reseller) from whom you acquired it for a refund. This applies only to your first acquisition of the program.
