Overview
In response to your request for multi-year contracts and a simplified ordering process for keeping software up-to-date, IBM announces Software Maintenance, an enhanced offering that includes technical support for IBM distributed software.
This new acquisition model, Software Maintenance, will replace the existing Software Subscription for AIX® (5692-SSO) offering and stand-alone upgrades previously ordered under each licensed program. This new offering enables a single site or worldwide enterprise customer to maintain software entitlement to current or future versions or releases of the eligible products during the Software Maintenance contract period. An integral part of Software Maintenance is technical support that is designed to meet the support requirements of a customer running multiple IBM products in a complex environment. One year of Software Maintenance is included automatically for new licenses of programs covered in this announcement. A three-year Software Maintenance option is also available as an extended coverage option.
Note: The AIX Operating System is not included in this announcement. Refer to Software Announcement 202-002 , dated January 8, 2002, for IBM Enhanced AIX Operating System Subscription.
To allow more customers to take advantage of the new IBM Software Maintenance offering, the After-License feature will be priced equal to the Renewal feature until December 31, 2002.
Each participating product in this new offering has its own unique one- or three-year maintenance program number as listed in the Ordering Information section. The automatic renewal billing process is being replaced with the one-time charge (OTC) billing for the contract period. An after-license ordering feature eliminates the customer requirement to order a stand-alone upgrade to the current release or version. Customers will be notified before their contract expiration date and can renew their software contract during this process.

Maintenance for IBM pSeries announcement.
Description
IBM Software Maintenance for IBM pSeries is a 1- or 3-year
contract offering that enables you to maintain software product version
and release currency, with voice support during normal business hours
included at no additional charge for the first year, for selected AIX and
UNIX®-based software products at a predetermined cost. One year of
Software Maintenance is included in the price of the original license.
For products participating in IBM Software Maintenance for pSeries, you
can receive all software product version and release upgrades announced
during the contract period and voice support. If you allow either the 1-
or 3-year software maintenance offering to expire without renewal, there
will be a "Maintenance-After-License" option to enable reinstatement in
the IBM Software Maintenance for pSeries offering, on a
product-by-product basis.
Definition of Software Upgrade: An upgrade is either a new version (3.x.x to 4.x.x) or a new release (x.3.x to x.4.x) of an IBM program announced as eligible for which you enrolled under the IBM Software Maintenance for pSeries. Software Maintenance entitles you to future upgrades from only the latest announced version or release of an available eligible product.
Upgrades do not include programs sold separately from the enrolled program, but that enhance the performance of that program, or are considered add-ons or utilities. Programs that perform the same functions as the enrolled program but are installed on a non-AIX platform are not considered upgrades.
Note: Software preventative maintenance releases x.x.1 to x.x.2 (modification level changes, updates, or refreshes) are released under the 1- or 3-year maintenance program numbers but only when a supply feature has been announced. Supply features are only announced under the 1- and 3-year options when there is an announced version/release change against the original program product. No-charge preventative maintenance releases should be obtained by Software Maintenance customers in the same manner as non-Software Maintenance customers.
Example : Product A is offered under IBM Software Maintenance for pSeries and three months later maintenance updates (PTFs) are incorporated into the program package. This is considered an update that would not be obtained under the 1- or 3-year maintenance program numbers under the IBM Software Maintenance for pSeries offering. Using the same example above, three months after the PTFs were incorporated into the program package, IBM announces a new version of product A. At that time, a supply feature is announced for product A under the 1- and 3-year maintenance program numbers. This allows customers who are entitled by purchase or when the first year of maintenance is included with the license, of either the 1- or 3-year maintenance offering for product A to order the upgrade under the 1- or 3-year offering.
IBM may announce a product that can be substituted for an enrolled product. This product is neither a new version, a new release, nor a maintenance release of that enrolled product. In most cases, this product has a different architecture, more function, and a higher license charge than the enrolled product. IBM may provide those customers enrolled in the IBM Software Maintenance for pSeries offering access to this product at a discounted rate. The terms of this transaction will be included in the new product announcement.
Note: IBM will continue to make stand-alone software licenses and upgrades available for the software products in this announcement upon customer request. Contact your IBM sales representative or IBM Reseller for details.
Eligibility of Upgrades: Only unannounced software product upgrades are eligible for coverage under the IBM Software Maintenance for pSeries offering. If the upgrade is announced under either the 1- or 3-year program numbers before the effective contract date, then you are not entitled to the software upgrade without purchasing the "maintenance-after-license" option under the 1- or 3-year subscription program numbers. If the upgrade for an enrolled software product is announced during the contract period, you are entitled to the upgrade even if the product does not become available until after the end of the contract. However, if the contract for either the 1- or the 3-year subscriptions offerings is not renewed, then future upgrades against the product could not be obtained without buying a new license or paying the "maintenance-after-license" fee for the program product.
Contract Duration: The IBM Software Maintenance for pSeries contracts are on a product-by-product basis and are offered for one or three years. One year of Software Maintenance is included with the purchase of a new license for the product. The 3-year prepay option covers two additional years of coverage since the first year is included in the product license. The 3-year prepay option can be purchased at the same time a license for an eligible product is purchased. Refunds do not apply if cancellation occurs during the one- or three-year contract period. Customers are not required to renew under either the one- or three-year offering when the contract expires but will need to use the maintenance-after-license option should they let the contract expire and want to acquire a new version or release of an eligible product.
If the one- or three-year contracts are not renewed, the one- or three-year contracts will be removed from IBM administrative systems. Contract transfers within an enterprise are allowed.
Payment Options: Customers enroll in the plan at a reduced "Initial" price at the same time a new license for an eligible program product is purchased. Customers can also enroll in the plan after purchase of a new license for an eligible program product is purchased but must purchase the "maintenance-after-license" option.
Software Maintenance Prices: The IBM Software Maintenance for pSeries program prices are based on the published price of the software program at the time of the contract preparation.
Notification of Upgrade Availability and Ordering: Changes are currently underway to the Web server where customers will register for e-mail notifications when Software Maintenance products are upgraded. The Software Maintenance component of the Web server will be found at:
Upgrade Deliverables: Entitlement includes:
- Media supply based on the number of licenses purchased
- Softcopy publications
- Hardcopy entitled publications
The total number of combined media supply features can be no greater than
the quantity associated with the billing feature for which you are
eligible.
Adding New Licenses to an Existing Contract
New software licenses cannot be added to an existing Software Maintenance
for pSeries contract. No proration is allowed. As new licenses for
products in the announcement are added, a new contract should be ordered
for those licenses.
Adding Previously Installed Licenses to an Existing Contract
You cannot add installed product licenses to a contract that were not
initially covered by an existing contract. These licenses should be
added using the After-License feature under a new and separate contract.
The protection expires when the originally dated contract is not renewed.
Software Maintenance 1- and 3-Year Prepay Options
- Each eligible licensed software program will include one year of Software Maintenance (Software Subscription and Technical Support) in the price of the license.
- A 1- and 3-year prepay option (represented by two separate type/models) is associated with each eligible licensed program.
- The Software Maintenance type/models will have the same pricing structure as the license type/models they are associated with.

Each 1- and 3-year Software Maintenance program number will have three
feature numbers for each priced entity:
- A no-charge registration feature for the 1-year contracts and a 2-year priced feature (since the first year is included in the price of that license) for the 3-year contracts
- A renewal feature of 1- or 3-years
- A Software Maintenance "After-License" charge for customers who want to renew but have lapsed coverage
- The Software Maintenance order generated for this product will be a new order and have a new starting/ending period, separate from the one for the license already in effect.
Transition from Existing Software Subscription for AIX Offering
Until April 8, 2002, as existing contracts for IBM Software Subscription for AIX (5692-SSO) under which you purchased software subscription for the products in this announcement become eligible for renewal, you are encouraged to move to the new Software Maintenance offering. You will be allowed to move to the new offering by ordering the Renewal feature versus the After-License feature. However, if required, you can renew your existing Software Subscription for AIX offering contract up to one additional year.
After April 8, 2002, as existing contracts for IBM Software Subscription for AIX (5692-SSO) under which you purchased software subscription for products in this announcement become eligible for renewal, if you want to continue with subscription for these eligible products, you must move to the new Software Maintenance offering. You will be allowed to move to the new offering by ordering the Renewal feature versus the After-License feature.
To allow you to take advantage of the new Software Maintenance offering, the After-License feature will be priced equal to the Renewal feature until December 31, 2002.
- Software Maintenance is not included with licenses or media obtained via Software Subscription for AIX (5692-SSO) upgrade. Current SupportLine contracts will be honored until their expiration. Customers who obtain a licensed program upgrade under Software Subscription (5692-SSO) may optionally purchase one- or three-year Software Maintenance. Customers should place an order for 5771-xxx (one-year) or 5773-xxx (three-year) and specify the appropriate Renewal feature number from the Ordering Information section.
- Software upgrades for programs having software subscription contracts running on pSeries will be generated by using the configurator. Orders will be generated with media features updated (MES) to the appropriate software subscription record.

Planning Information
Customer Responsibilities: For IBM Software Maintenance for pSeries, customers are responsible for ensuring that:
- They hold valid licenses for all software products enrolled under the IBM Software Maintenance for pSeries programs.
- The number of copies made of a software product upgrade delivered under this plan does not exceed the number of upgrades enrolled.
- Software products priced by processor group are installed on the appropriate systems.
- Software products that have usage restrictions comply with those usage restrictions.
- They contact IBM or an IBM Business Partner when they are ready for upgrades to be shipped.
Security, Auditability, and Control
Refer to the original announcement letter for the individual licensed program offered under the IBM Software Maintenance for pSeries.
The customer is responsible for evaluation, selection, and implementation of security features, administrative procedures, and appropriate controls in application systems and communication facilities.
Ordering Information
A customer ordering a new license for one of the program products in this announcement must include a 1-year (5771-xxx) or a 3-year (5773-xxx) maintenance order to be entitled to future version or release updates of the licensed program. Not only will customers be entitled to future version or release updates during the Software Maintenance contract period, but also included is a year of voice support at no additional cost. Customers entering a 1- or 3-year Software Maintenance offering should specify type/model 5771-xxx or 5773-xxx. After selecting the 1- or 3-year type/model, customers should add the applicable billing features with quantity equal to the number of licenses in the AIX contract.

New Licensees
The software license for new customers of any of the program products in this announcement, will include Software Maintenance for one year. Customers should then select the 1- or 3-year program number, the appropriate feature number, and desired quantity to extend coverage for their software licenses.
The following applies for New Licensee customers:
- The appropriate 1-year registration feature (no charge feature) will transfer automatically to the customer order record.
- The appropriate 3-year feature (priced for second and third year only) will transfer automatically to the customer order record.
