Ordering InformationEveryplace Server Enable V1.1 is available through Passport Advantage. The pricing structure of Everyplace Server Enable V1.1 implements IBM Value Units and is based on the number and type of processors that will be in the Everyplace Server Enable V1.1 environment. IBM Value Units provide a licensing methodology that reduces complex ordering structures to a single orderable item. Value Units are used to determine the license quantities, are product specific, and cannot be transferred to another product. The required number of Value Units is determined by the type and number of processors in the Everyplace Server Enable V1.1 environment. A processor is defined as any system or node executing all or any part of Everyplace Server Enable V1.1 (the Program). For example, two 4-way symmetric multiprocessor (SMP) systems, whether stand-alone systems or nodes in a larger system, are counted as eight processors. To determine the quantity of Value Units you need to order:

Program Services: Basic Program Services are provided as part of the IBM basic software license agreement as described in the IPLA/LI of the product. These services offer a method of reporting code-related problems for IBM licensed software products. Program Services will be available for Everyplace Server Enable V1.1 through December 31, 2002. Additional fee support is available through the IBM Operational Support Services Support Line and Passport Advantage Support. This program will be subject to the terms of the IPLA included in the program software and not to the Agreement for IBM Licensed Programs. Available until December 31, 2002 Money-Back Guarantee: Two-month, money-back guarantee Copy and Use on Home/Portable Computer: No Passport Advantage Applies: Yes Passport Advantage Subscription Applies: Yes In addition to the IPLA, the following terms apply: Program-Unique Terms: The WebSphere Everyplace Server Enable (the "Program" or "WES Enable") consists of several components. Program components may be used only within the Program environment. In addition, any client function elements or code included with components of the Program may be used only in conjunction with such component of the Program, subject to any additional restrictions below. The Program is priced with "IBM Value Units," which are used to determine the required number of Program licenses, are Program specific, and cannot be transferred to another IBM product. The required number of Program licenses is based on the number of central processing units (CPUs) authorized to run the Program. The authorization to use the Program entitles you to install one copy of the Program components onto a single CPU. The Program components can be installed on different CPUs, so long as no component is installed on more than one CPU at any one time. If additional authorizations are needed, for example, to run the Program on additional CPUs, you must acquire additional licenses to the Program. The Program may contain cryptography which is subject to special export licensing requirements of the U.S. Department of Commerce or other countries. Refer to the Program documentation or consult your IBM representative for details on the available level of encryption. Some of the components of the Program are provided in source code form. Notwithstanding anything to the contrary in the IPLA ("Agreement"), Program Services are provided only for the unmodified, binary code versions of these components included in Program packaging, and not for the source code for these components or for any modifications of such components you may create. IBM is providing this source code on an "AS-IS" BASIS, WITHOUT WARRANTY OF ANY KIND (EITHER EXPRESS OR IMPLIED) INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND ANY WARRANTY OF NON-INFRINGEMENT. In addition to the terms above, certain components of the Program have Program-unique terms which are identified below, and which apply to the referenced component of the Program. For WebSphere Edge Server: This component of the Program includes Cyber Patrol software components provided by SurfControl. These components require lists generated by SurfControl to function properly. The Program includes a version of these lists; however, the lists included in the packaging for the Program will be outdated by the time you receive them and are provided by IBM on an "AS-IS" basis without program services and without warranty of any kind. The packaging for the Program may include a trial subscription to receive updated versions of these lists directly from SurfControl. Unless the packaging for the Program provides notice to the contrary, you must activate this trial subscription directly with SurfControl and obtain updated versions of the list directly from SurfControl. IBM does not provide any warranties or program services for lists obtained from SurfControl. For MQSeries® Everyplace: Mobile device platform use authorizations (which are recorded on PoE documents) are licenses that are required to use the MQSeries Everyplace device program (other than for purposes of internal code development and testing) on certain client platforms. These licenses do not entitle the user:

WebSphere Transcoding Publisher contains JavaBeans (each referred to below as "Components") that, subject to the Agreement, may be used by you in other products within your enterprise. Notwithstanding any other terms in the Agreement, your license to use WebSphere Transcoding Publisher is conditioned on you not using WebSphere Transcoding Publisher to access, process, distribute or manipulate (collectively, "Filter") any materials unless you have the right ("Rights") to Filter such materials using WebSphere Transcoding Publisher because you (i) own the materials or (ii) have acquired sufficient rights to so Filter the materials. You also represent and warrant that if you do Filter any materials using WebSphere Transcoding Publisher, you have the Rights to so Filter the materials. Transcoders created by you or another third party (each referred to below as "Your Transcoders") can also, subject to the Agreement, be used with the Framework. Subject to the Agreement and all terms and conditions in this section, IBM grants you the rights to reproduce Components and include the unmodified Components in your products ("Your Products"). Subject to the Agreement and all terms and conditions in this section, IBM grants you the rights to use Your Transcoders with the Framework. IBM DOES NOT PROVIDE ANY WARRANTY FOR YOUR PRODUCTS OR YOUR TRANSCODERS. IBM'S WARRANTY OBLIGATIONS WITH RESPECT TO THE COMPONENTS AND THE FRAMEWORK ARE LIMITED TO THOSE SET FORTH UNDER "LIMITED WARRANTY" IN THE AGREEMENT. YOU, AND NOT IBM, ARE RESPONSIBLE FOR THE OVERALL RESULTS ACHIEVED BY YOUR PRODUCTS AND YOUR TRANSCODERS. For WebSphere Application Server, Advanced Edition: WebSphere Application Server (WAS) consists of the following software components: Application Server, Admin Client, IBM HTTP Server, Distributed Debugger SecureWay® Directory, and DB2 Universal Database®. ADMIN CLIENT, DISTRIBUTED DEBUGGER COMPONENTS: Notwithstanding anything in the Agreement to the contrary, you are authorized to install and use an unlimited number of copies of the Admin Client and Distributed Debugger components of WAS on any of your machines. ADDITIONAL RESTRICTED USE COPIES: In addition to the rights and licenses granted to you under the Agreement, you may install and use additional copies of WAS under the terms and conditions of the license agreements installed with WAS in the "DEVLIC" directory. Your use of the source code for the Apache HTTP Server accompanying the Program is subject to the terms and conditions of the license from The Apache Group, which is reproduced in the README file associated with WAS or in a file or files referenced by the WAS README file, and not the Agreement. In particular, IBM is providing the source code for the Apache HTTP Server on an "AS-IS" BASIS, WITHOUT WARRANTY OF ANY KIND (EITHER EXPRESS OR IMPLIED) INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND ANY WARRANTY OF NON-INFRINGEMENT.
