UpgradesWebSphere Everyplace Server, Service Provider Offering for Multiplatforms Version 2.1 is the replacement product for WebSphere Everyplace Suite Service Provider Edition Version 1.1 and WebSphere Everyplace Suite Enterprise Edition Version 1.1. The pricing structure and software subscription options for both of the Version 1.1 editions are different than the software subscription options that are available for Everyplace Server, Service Provider V2.1. Therefore, the transition from either edition of WebSphere Everyplace Suite Version 1.1 to Everyplace Server, Service Provider V2.1 will be given individual attention by IBM for each customer to ensure the upgrade from Version 1.1 to Version 2.1 is equitable.

Version 2.1 expands the capabilities of Version 1.1 editions and allows more tailored solutions for customers' mobile e-commerce needs. WebSphere Everyplace Server, Service Provider Offering for Multiplatforms Version 2.1 allows customers to purchase only the functionality they require while delivering a consistent architecture to build upon, if and when desired. WebSphere Everyplace Server, Service Provider Offering for
Multiplatforms Version 2.1 includes some programs that have limited
use license terms and conditions. These programs are to be used only in
conjunction with Everyplace Server, Service Provider V2.1. For full use
outside of the Everyplace Server, Service Provider V2.1 environment, the
customer should acquire separate licensing for these products. Refer to

section in this announcement. The specific limitations are included in
the License Information that is provided with the Everyplace Server,
Service Provider V2.1 product.
Planning InformationCustomer Responsibilities: It is strongly recommended that each customer develop an integration plan for Everyplace Server, Service Provider V2.1, including an appropriate integration services agreement with IBM Global Services or other capable integration service provider. It is also strongly recommended that Passport Software Subscription and Support options be acquired in conjunction with the product and license.

Ordering InformationEveryplace Server, Service Provider V2.1 pricing implements IBM Value Units and ordering quantities are based on the number of users (in increments of 50 users). Value Units provide a licensing methodology that reduces complex ordering structures to a single orderable item. Value Units are used to determine the license quantities, are product specific, and cannot be transferred to another product. Determining Required Number of Value UnitsThe following examples demonstrate the logic used to determine the required number of Value Units. These examples use the full Everyplace Server, Service Provider V2.1 requirements, but the same methodology applies to each of the options. Example 1: Assume that you want to start using Everyplace Server, Service Provider V2.1 with only a portion of your users, then at a later date, add the rest of your users. You may do this with two transactions. Part 1 Initial Transaction Assume you want to license only 1,234 of your users for the initial startup of using Everyplace Server, Service Provider V2.1.
How to Calculate Required Value Units Result 1. Round up the number of users to the 1,250 users nearest 50 and identify the (Level 1) applicable Usage Level. 2. Divide the rounded-up number of 25 groups users by 50 to determine the number of 50 of 50-user groups. 3. Refer to Usage Level 1 (the applicable 642 Value level for this example) to determine Units per the required number of Value Units 50 users for each 50-user group. 4. Multiply the number of groups by 25 x 642 the number of Value Units required = 16,050 for each group. If the result is not a multiple of 16,050 five, round up to the nearest five. 5. Order the total number of required Order 16,050 Value Units. Value Units Part 2 Subsequent Transaction At a later date, you are now ready to add the remainder of your users, bringing your total number of users to 12,552. You have already acquired 16,050 Value Units in your initial transaction.
How to Calculate Required Value Units Result
1. Round up the total number of users 12,600 users
to the nearest 50 and identify (Level 2)
the Usage Level.
2. Divide the number of users by 50. 252 groups

Example 2: If you start with 600 users, the required number of Value Units is 7,705. That is 600 divided by 50 = 12, then multiply 12 times 642 (Value Units per 50 Users in Usage Level 1). This equals 7,704 which is then rounded up to 7,705. You should order 7,705 Value Units to license your 600 users. If, at a later date, you wish to increase your total number of users to 6,000, the total required Value Units is 46,800. That is 6,000 divided by 50 = 120, then multiply 120 by 390 (Value Units per 50 Users in Usage Level 2) for a total of 46,800 Value Units required to license your total 6,000 users. However, since you have already acquired 7,705 Value Points in your initial transaction, you need to order only 39,095 Value Units in this transaction to bring your total of Value Units purchased to 46,800. If you decide to start with 6,000 users (Usage Level 2), you should order 52,080 Value Units (120 x 390 = 46,800).

users at that time in your environment.

UpgradesWebSphere Everyplace Server, Service Provider Offering for Multiplatforms Version 2.1 replaces both the Service Provider Edition and the Enterprise Edition of WebSphere Everyplace Suite Version 1.1. Everyplace Server, Service Provider V2.1 pricing and software subscription is structured differently than either of the Version 1.1 editions. To ensure that each WebSphere Everyplace Suite Version 1.1 customer who purchased software subscription receives the correct upgrade entitlements for Everyplace Server, Service Provider V2.1, each eligible customer will be contacted by IBM to review and evaluate their specific situation. The terms of the customer's Version 1.1 subscription options will determine the specific Version 2.1 upgrades to which the customer is entitled. Within approximately two weeks after this announcement, your IBM Pervasive Computing Division representative will contact you to discuss the new product and evaluate your eligibility for upgrades and licensing. If you are using Version 1.1 but did not purchase a software subscription option, you may contact your IBM representative to discuss the most appropriate Version 2.1 options for you. Terms and ConditionsLicensing: IBM International Program License Agreement (IPLA). Proofs of Entitlement are required for all authorized use. License Information (LI) Form Number: The LI is provided in the program software. Program Services: Basic Program Services are provided as part of the IBM basic software license agreement as described in the IPLA/LI of the product. These services offer a method of reporting code-related problems for IBM licensed software products. Program Services will be available for WebSphere Everyplace Server, Service Provider Offering for Multiplatforms Version 2.1 through December 31, 2002. Additional fee support is available through the IBM Operational Support Services Support Line and Passport Advantage Support. This program will be subject to the terms of the IBM IPLA included in the program software. Everyplace Server, Service Provider V2.1 includes some other IBM programs that have unique terms and conditions, in addition to the terms and conditions of the IPLA. These unique terms and conditions are in the LI that are provided with the Program. Program-unique Terms The IBM WebSphere Everyplace Server, Service Provider Offering (the "Program" or "WES") consists of several components. Program components may be used only within the Program environment. In addition, any client function elements or code included with components of the Program may be used only in conjunction with such component of the Program, subject to any additional restrictions below. The Program is priced with "IBM Value Units," which are used to determine the required number of Program licenses, are Program specific, and cannot be transferred to another IBM product. The required number of Program licenses is based on the number of users authorized to access the Program environment. For customers using the Program in connection with providing hosting/ASP services to third party end user customers, as an additional prerequisite to such use of the Program, you must also agree to the Application Solution Provider Addendum to the IBM Lotus International Passport Advantage Agreement (the "Addendum"). If you are not a Lotus Passport customer, such additional terms will be provided to you in a Supplement to this License Information Document. By using the Program, you agree to be bound by the additional terms of the Supplement. The Program may contain cryptography which is subject to special export licensing requirements of the U.S. Department of Commerce or other countries. Refer to the Program documentation or consult your IBM representative for details on the available level of encryption. Some of the components of the Program are provided in source code form. Notwithstanding anything to the contrary in the IBM International Program License Agreement ("Agreement"), Program Services are only provided for the unmodified, binary code versions of these components included in Program packaging, and not for the source code for these components or for any modifications of such components you may create. For WebSphere Transcoding Publisher WebSphere Transcoding Publisher consists of, but is not limited to, a functional framework ("Framework"), transcoders, device profiles, development toolkit, documentation, and installation and administrative capability. WebSphere Transcoding Publisher contains JavaBeans, (each referred to below as "Components") that, subject to the Agreement, may be used by you in other products within your enterprise. Notwithstanding any other terms in the Agreement, your license to use WebSphere Transcoding Publisher is conditioned on you not using WebSphere Transcoding Publisher to access, process, distribute or manipulate (collectively, "Filter") any materials unless you have the right ("Rights") to Filter such materials using WebSphere Transcoding Publisher because you (i) own the materials or (ii) have acquired sufficient rights to so Filter the materials. You also represent and warrant that if you do Filter any materials using WebSphere Transcoding Publisher, you have the Rights to so Filter the materials. Transcoders created by you or another third party (each referred to below as "Your Transcoders") can also, subject to the Agreement, be used with the Framework. Subject to the Agreement and all terms and conditions in this section, IBM grants you the rights to reproduce Components and include the unmodified Components in your products ("Your Products"). Subject to the Agreement and all terms and conditions in this section, IBM grants you the rights to use Your Transcoders with the Framework. You are authorized to install and use one copy of these components only in association with your licensed use of the Program for the storage and management of data used and generated by the Program, and not for other data management purposes. For example, this license does not include inbound connections to the database from other applications for queries or report generation. You are authorized to install and use these components only with and on the same machine as the Program. For Sametime Everyplace Only end users with a valid Sametime license are permitted to access Sametime Everyplace. In addition, you must acquire one Sametime Everyplace license for every user who accesses Sametime Everyplace. You may install Sametime Everyplace on as many servers as necessary to support the users.
