IBM Data Management is expanding the range of choices that businesses have when deploying databases in a virtualized environment. As business needs change, the IT departments can ensure that they can use the product that meets their new requirements, and they only have to pay for what they need and use. To meet the increased use of virtualization for data center flexibility and quick deployments, from server solidation to reducing energy costs, IBM is ensuring that the full range of our database products is available for sub-capacity usage. Businesses can now use DB2 and Informix Dynamic Server in virtualized environments from quickly available online appliances using IBM's Express database offerings, to rapid large scale deployments of servers across the enterprise. IBM's changes are a step forward in helping businesses of all sizes benefit from the advantages of virtualization.
DB2
All editions of DB2 are now available to be used and licensed in a virtualized environment. Businesses can use DB2 Express, DB2 Workgroup, or DB2 Enterprise with sub-capacity pricing ensuring IT departments only pay for what they actually use. DB2 has also added sub-capacity parts for DB2 Storage Optimization Feature and the Performance Optimization Feature for Enterprise Server Edition.

Informix Dynamic Server (IDS)
All editions of IDS are now available and supported in a virtualized environment. Sub-capacity pricing is now available to all IDS V11.50 editions and corresponding components, helping you reduce costs and maximize your investments with server consolidation and reduced administration. IBM is responding to your tremendous interests in high availability and business continuity. With IDS V11.50, you will be able to deploy High-availability Data Replication (HDR) with no additional feature charge for the Workgroup Edition, deploying up to two secondary servers in either Idle standby or Hot active read mode. Hot active secondary servers are now eligible for sub-capacity pricing on the Processor Value Unit metric.

InfoSphere Warehouse
With the often changing information needs of today's business, a company's data warehouses and datamarts must be able to grow with them. To allow IBM's InfoSphere Warehouse products to grow to address the growth of a company's data virtualization support, sub-capacity pricing has been added to all product editions. The new sub-capacity part numbers include the Base, Advanced, Starter, and Intermediate versions of the InfoSphere Warehouse products for DB2 as well as the Base Warehouse Feature for DB2.

IBM Informix Dynamic Server (IDS)
IDS offers you a wide range of choices to help reduce hardware costs and administration overhead and help maximize your investments in virtualization deployment. IBM offers you the ability to deploy in virtualized environments without having to purchase licenses for the entire server. With IDS V11.50, you may purchase licenses only on the processor cores you use with sub-capacity pricing. You will be able to take advantage of IBM's flexible pricing to help reduce costs, buy only the number of processor cores needed, not the entire socket nor the entire server. Sub-capacity pricing is now available for all IDS V11.50 editions: Express, Workgroup, and Enterprise Editions. You may purchase Processor Value Units (PVU) up to the number of cores they need within a socket or a server.
For example, with IDS V11.50 sub-capacity pricing, on a four sockets server with four Intel® x86 cores per socket, you may for a virtual domain of:
- One virtual processor core, purchase 50 PVU of IDS Express Edition
- Six virtual processor cores, purchase 300 PVU of IDS Workgroup Edition
- Ten virtual processor cores, purchase 500 PVU of IDS of IDS Enterprise Edition
IDS sub-capacity pricing applies to each virtual domain:
- For Express Edition, a domain may have up to 200 PVU and 4 GB of shared memory.
- For Workgroup Edition, a domain may have up to 480 PVU and 8 GB of shared memory.
- For Enterprise Edition, a domain may have unlimited PVU and shared memory.
IDS V11.50 offers a wide variety of options for high availability and continuous availability to help reduce hardware costs and increase scalability. The Continuous Availability Feature for clustering solutions provides you with seamless high-availability application deployment, dynamic scalability, and workload distribution. With Multiple Remote Servers, you are able to configure worldwide failover scenarios while at the same time utilizing all the servers in active-active mode, which can help you to maximize their return on investment and to ensure business continuity.
With IDS V11.50, the High-availability Data Replication (HDR) is now included in the Workgroup Edition. You may configure up to two HDR remote secondary servers with the Workgroup Edition in either Idle standby or Hot active read mode. Hot active writes on secondary servers are available with the Enterprise Edition. Hot active secondary servers are now eligible for sub-capacity pricing on the Processor Value Unit metric. Some Informix component products are also eligible for sub-capacity pricing when used with IDS V11.50 (all editions). These include Informix 4GL and ISQL component products. Additionally, the following are eligible for sub-capacity pricing with IDS V11.50 on the Workgroup and Enterprise Editions: Informix DataBlade component products, IDS Continuous Availability Feature, and IDS Advanced Access Control.

IPLA and Subscription and Support considerations
IPLA licenses can be transferred from one machine to another within, but not limited to an enterprise. You may aggregate the capacity for all the processors the product is operated on to achieve a more economic price. This will result in a single Proof of Entitlement (PoE). It is your responsibility to manage the distribution of Processor Value Units within the limits of the entitlement of the product license.
Subscription and Support must cover the same capacity as the product license entitlement. Subscription and Support will be available in the country in which the agreement is made.

Available Informix Dynamic Server (IDS) editions
IDS Enterprise Edition V11.50 is designed to meet the data server needs of mid-size to large-size businesses. It can be deployed on Linux, UNIX, and Microsoft® Windows servers of any size, from one processor to hundreds of processors. IDS Enterprise Edition is an ideal foundation for building on demand enterprise-wide solutions for high-volume online transaction processing (OLTP) solutions, helping you to achieve near-zero transaction response time, 24x7x365 continuous global availability, low cost of administration, and remote management of thousands of IDS servers with only one to a few database administrators (DBAs). IDS offers unparalleled scalable administration, managing up to 2,000 IDS instances with just 1 DBA. IDS is a data server for integrated enterprise solutions and embedded OEM solutions across a broad range of industries such as automotive, banking, electronics, entertainment, finance, gaming, government, health, leisure, manufacturing, retail, telecommunications, distribution, and transportation. You can rely on IDS servers for their business success and to help achieve cost savings, building on the IDS foundation of legendary reliability, blazing fast transactions, scalable performance, low administration overhead, and "just set it up and forget about it" ease of use. You have deployed IDS servers on a broad range of solutions such as telecommunications billing and resource optimization, retail point-of-sales, online gaming, online transactions, real-time sports statistics collection and live broadcasting, location-based services, RFID tracking, e-commerce, accounting, directory services, supply chain management, resource planning, customer relationship management, and supply chain management.
Program charges: IDS Enterprise Edition is available on a Processor Value Unit, Concurrent Session, or Authorized User charge metric basis. You must acquire entitlements for each Authorized User or Concurrent Session of this product, with a minimum of 25 Authorized Users or 10 Concurrent Sessions per server. The following options are available for the IDS Enterprise Edition: IDS Continuous Availability Feature and IDS Advanced Access Control Feature. Refer to the Terms and conditions section for additional details.
The following products are only available with the IDS Enterprise Edition: IBM solidDB Cache for IDS, IBM Database Encryption Expert, Informix Enterprise Gateway Manager, Informix Max Connect, and Informix I-Spy.
IDS Workgroup Edition V11.50 is the data server of choice for deployment in a departmental, workgroup, or medium-size business solution. It is a data server for business partners with integrating solutions for medium businesses, requiring minimal or no database administration, and continuous reliability and high availability. It is available for either per Processor Value Units or per Authorized User or Concurrent Session pricing models, to provide flexible and attractive price points for medium-size installations while providing the full-function industry-leading OLTP data server.
Program charges: IDS Workgroup Edition is available on a Processor Value Unit, Concurrent Session, or Authorized User charge metric basis. You must acquire entitlements for each Authorized User or Concurrent Session of this product, with a minimum of five Authorized Users or five Concurrent Sessions per server. IDS Workgroup Edition can be deployed on systems with up to 480 Processor Value Units and 8 GB of total allocated shared memory (SHMTOTAL) per IDS virtual domain or server. Refer to the Terms and conditions section for additional details.
The IDS Parallel Performance for Workgroup Feature is being withdrawn and is no longer offered with the IDS Workgroup Edition. However, customers who already have previously acquired entitlements to the Parallel Performance for Workgroup Feature, and customers who have upgraded from IDS V7 to IDS Workgroup Edition, will, 1) retain their existing entitlement to use the feature in conjunction with a validly licensed current version of IDS Workgroup Edition, and as long as you remain current with your support for the IDS Workgroup Edition 2) be granted an additional entitlement to use the feature number that accompanies new versions of Workgroup Edition for which you have acquired a license, to the extent of the current existing previously purchased feature entitlement, but such use may only be in support of (a) a deployed application or workload that was running on a current IDS Workgroup Edition as of February 10, 2009, or (b) an expanded deployment of such an application or workload. The use entitlement of the Parallel Performance for Workgroup Feature include using functions for parallel query, high performance loader, parallel index build, table/index/dbspaces partitioning, and parallel backup and restore.
This use entitlement of the Parallel Performance feature number of a new version of Workgroup Edition does not extend to new applications or workload deployments, such as, for example, new workloads or applications established after February 10, 2009, running on or with any instance of a future version of an IDS Workgroup Edition product. For use of the Parallel Performance Feature for any such new workload or application deployments, you must purchase or upgrade to an IDS Enterprise Edition. There is no replacement for the Parallel Performance for Workgroup Feature.
IDS Express Edition V11.50 is a full-function IDS data server providing very attractive entry-level pricing for the small and medium business (SMB) market. It is offered in both per Processor Value Units and per Authorized User pricing model, to match SMB customer needs. It is easy to upgrade to the other editions of IDS; you do not need to change your application code.
Program charges: IDS Express Edition is available on a Processor Value Unit or Authorized User charge metric basis. You must acquire entitlements for each Authorized User of this product, with a minimum of five Authorized Users or five Concurrent Sessions per server. IDS Express Edition can be deployed on systems with up to 200 Processor Value Units and 4 GB of total allocated shared memory (SHMTOTAL) per IDS virtual domain or server. Refer to the Terms and conditions section for additional details.
IDS Developer Edition (DE) V11.50 offers enterprise functionality to customers and business partners for developing new applications. It is available free of charge, without support, for development use only. It is intended for developers to use, with 1 CPUVP, 1 GB shared memory, and 20 GB DBSPACE limits. IDS DE may not be deployed and used in a production environment.
The IDS Continuous Availability Feature supports cluster solutions. It enables you to reduce hardware system costs while increasing system scalability and availability. This feature provides 24x7x365 continuous availability with dynamic connection routing and client application reconnection to another node on any node failures to ensure continuous business operations. The disks in the cluster are shared across cluster nodes to help reduce costs and increase performance.
Program charges: This feature is available on a Processor Value Unit, Concurrent Session, or Authorized User charge metric basis. This feature is available only as an option to the Enterprise Edition. To use the feature, you must acquire the same number of entitlements using the same charge metric as you acquired for that underlying IDS data server. Refer to the Terms and conditions section for additional details.
IDS High-availability Data Replication (HDR) is a high-availability feature between primary and secondary standby servers. When the primary fails, a failover to the secondary ensures continued business operations. Up to two secondary servers may be used for the Workgroup Edition, for either Idle standby or Hot active reads on the secondary servers. Hot active writes on secondary servers are available to the Enterprise Edition
Program charges: This feature is included in the Workgroup and Enterprise Editions. For the secondary server, applicable to both the Workgroup Edition and Enterprise Edition, you must acquire the underlying primary IDS data server charge metric entitlements based on one of three standby modes: Cold standby, Idle standby, Hot standby. For Idle standby, each secondary server is charged either 100 PVU, minimum Authorized User, or minimum Concurrent Session for the edition, corresponding to the charge metric on the primary server. For Hot standby, each secondary server is charged for full use IDS licenses, on the same charge metric as the primary server. Refer to the License Information, document number L-KLET-7HVNA4, for additional details. If you had entitlements for HDR usage on either IDS Workgroup or Enterprise Editions before July 6, 2007, there is no charge for Idle standby mode for those Idle standby servers in use before July 6, 2007.
The IDS Advanced Access Control Feature offers cell, column, and row levels label-based access control (LBAC) for more secure data accesses. You have the control over who and what data to access.
Program charges: This feature is available on a Processor Value Unit, Concurrent Session, or Authorized User charge metric basis. You must acquire this feature under the same charge metric as the underlying IDS data server. This feature is available only as an option for Enterprise Edition. To use the feature, you must acquire the same number of entitlements using the same charge metric as you acquired for the underlying IDS data server. Refer to the Terms and conditions section for additional details.
Informix DataBlades: Image Foundation, Excalibur Text Search, Geodetic, Timeseries, and Video Foundation DataBlades increase application flexibility, customization, and performance by utilizing IDS extensibilities to accelerate time to value.
Program charges: These components are available only to the Workgroup Edition and Enterprise Edition. These components are available on a Processor Value Unit, Concurrent Session, or Authorized User charge metric basis. You must acquire each component under the same charge metric as the underlying IDS data server. To use the component, you must acquire the same number of entitlements using the same charge metric as you acquired for the underlying IDS data server.
Informix TimeSeries Real Time Loader Bundle provides real-time high-volume streaming data loading, storing data in-memory, making the data available in real time for time-sensitive processing and analysis.
Program charges: This component is available only to Workgroup Edition and Enterprise Edition. This component is available on a Processor Value Units, Concurrent Session, or Authorized User charge metric basis. You must acquire each component under the same charge metric as the underlying IDS data server. To use the component, you must acquire the same number of entitlements using the same charge metric as you acquired for the underlying IDS data server.
Informix Workgroup DataBlade Bundle includes the Web and Excalibur DataBlades, and the Data Director for Web. It offers SMB businesses a very attractive bundled solution for Web applications.
This component is available only for the Workgroup Edition. This component is available only on Concurrent Session or Authorized User charge metric basis. You must acquire this feature under the same charge metric as the underlying IDS data server. To use the component, you must acquire the same number of entitlements using the same charge metric as you acquired for the underlying IDS data server.
Spatial and Web DataBlades increase application flexibility, customization, and performance by utilizing IDS extensibility to accelerate time to value.
Program charges: These components are free of charge and available to Developer, Express, Workgroup, and Enterprise Editions.

Processor Value Unit (PVU)
PVU is the unit of measure by which this program is licensed. PVU entitlements are based on processor families (vendors and brands). A Proof of Entitlement (PoE) must be obtained for the appropriate number of PVUs based on the level or tier of all processor cores activated and available for use by the Program on the server. Some programs allow licensing to less than the full capacity of the server's activated processor cores, sometimes referred to as sub-capacity licensing. For programs which offer sub-capacity licensing, if a server is partitioned utilizing eligible partitioning technologies, then a PoE must be obtained for the appropriate number of PVUs based on all activated processor cores available for use in each partition where the program runs or is managed by the program. Refer to the International Passport Advantage Agreement Attachment for Sub-Capacity Terms or the program's License Information to determine applicable sub-capacity terms. The PVU entitlements are specific to the program and may not be exchanged, interchanged, or aggregated with PVU entitlements of another program.

VU Value Unit
VU Value Unit is the unit of measure by which this program is licensed. VU Value Unit entitlements are based on the quantity of a specific designated measurement, either users or resources, for the given program. A Proof of Entitlement (PoE) must be obtained for the appropriate number of VU Value Units required for your environment as defined by the specific program terms. The VU Value Unit entitlements are specific to the program and may not be exchanged, interchanged, or aggregated with VU Value Unit entitlements of another program. To understand these benefits of VU Value Unit licensing, and to determine how many VU Value Units to obtain for the program, contact your IBM representative.
Concurrent User
Concurrent User is the unit of measure by which this program is licensed. A Concurrent User is a shared user access to the program within or outside of your enterprise. The program may be installed only on one computer or one server. The total number of Concurrent Users simultaneously accessing the program at any moment in time may not exceed the highest number of Concurrent Users authorized by the PoE. You must have an entitlement for each Concurrent User simultaneously accessing the program or any program component in any manner directly or indirectly (for example, via a multiplexing program, device, or application server) through any means.
Authorized User
Authorized User is the unit of measure by which this program is licensed. An Authorized User is an individual (named or unnamed) within or outside of your enterprise. The program may be installed on one or more computers or servers and accessed by the number of users authorized by the PoE. You must have an entitlement for each Authorized User accessing the program or any program component in any manner directly or indirectly (for example, via a multiplexing program, device, or application server) through any means.
Processor Day
On/Off Capacity on Demand (OOCoD) extends the use of a perpetual license on a term basis when a peak situation occurs in a customer environment. OOCoD provides for daily temporary use of additional capacity when it is required by a customer. This is measured in Processor Days which is defined as the number of physical processor cores that are activated to increase temporary capacity on a server during a contiguous 24-hour period, beginning at the time when temporary capacity is initiated. Processor core usage is measured in day increments and is independent of the time of the day used. At initial activation, each processor core being used is charged for one day of use; software charges are incurred on a daily basis for each processor core that has been activated on a temporary basis for every IBM middleware program that is loaded on that server. An additional charge of a processor day is made for each 24 hours of continuous usage after the initial charge.
Concurrent Session
A Concurrent Session is a logical connection made between the program (residing on a single server) and a client device. Each such connection is counted as a Concurrent Session whether or not it is actually in use and regardless of the duration of the connection or periods of activity. If an individual end user establishes multiple connections, each one is counted as a separate Concurrent Session, even if they share a common physical pathway. From the day you begin using the program, the highest number of connections established concurrently at any time on each server will be counted for purposes of determining the total Concurrent Session entitlements required. You must acquire entitlements for the greatest number of logical connections in existence at any time on each server. Refer the example below.
Each logical connection made between a client device and a copy of the program residing on a server is counted as a Concurrent Session for which an entitlement is required. For example, if copies of the program reside on two different servers and a single client device connects to the program on both Servers, then two Concurrent Sessions have been established and a PoE must be acquired for each of them.
Each logical connection from a client device made, directly or indirectly, to this program (residing on a single server), through the intranet (connections from within your enterprise) or through the Internet (connections from outside your enterprise) is counted as a separate Concurrent Session and a separate entitlement (PoE) must be acquired for such Concurrent Session.
A PoE is required for each Concurrent Session accessing the program or any program component either directly or indirectly through any means. An example of "indirect" access would be through a multiplexing program, client device, or application server. The number of connections is not reduced by any program, client device, or machine, such as a front-end server, application server, or multiplexer, which may be used to connect, manage, or concentrate the logical connections.
For example, if you install a copy of the program on each of 3 servers and from the day you begin using the program, the greatest number of Concurrent Sessions established on Server 1 was 12, on Server 2 was 70, and on Server 3 was 89, then you must acquire, and pay for, PoE entitlements for 171 Concurrent Sessions, even if the number of your logical connections decreases over time (for example, logical connections are reduced to the following: Server 1: 12; Server 2: 56; Server 3: 80). Of course, you may subsequently again increase your total number of logical connections to 171 without needing to acquire additional Concurrent Session entitlements; provided that you do not increase the number of logical connections on any one of the servers beyond the highest number of logical connections ever previously established on that server. In this example, you could again increase the logical connections on Server 2 up to 70, and could increase the logical connections on Server 3 up to 89, without needing to acquire additional Concurrent Session entitlements. However, if you increased the number of logical connections on Server 1 to 25, even though the number of logical connections on Servers 2 and 3 remained at 56 and 80, respectively, you would need to acquire an additional 13 Concurrent Session entitlements for Server 1 (bringing your total entitlements to 184). Concurrent Sessions are not equivalent to concurrent users.
Each batch process being executed at the same time is also considered to be a Concurrent Session. You must acquire a separate Concurrent Session license entitlement for each Concurrent Session as described above.
The following minimum Concurrent Sessions requirement applies to licenses to the IDS Enterprise Edition V11.50.
The program must be licensed for, and PoE acquired for, the greater of (a) at least 10 Concurrent Sessions per server on which the program is installed or (b) the total number of Concurrent Sessions accessing the program.
The following minimum Concurrent Sessions requirement applies to licenses to the IDS Workgroup Edition V11.50.
The program must be licensed for, and PoE acquired for, the greater of (a) at least five Concurrent Sessions per server on which you install the program; or, (b) the total number of Concurrent Sessions accessing the program.

Sub-capacity for selected middleware products
Sub capacity licensing on a per processor or per Value Unit basis is available for selected middleware products. To offer sub capacity licensing, IBM software products implement IBM Tivoli® License Compliance Manager within their offerings so that you can monitor and report quarterly to IBM on the use of the programs on a continuous basis.

Eligibility requirements for sub-capacity licensing
To be eligible for sub-capacity licensing terms on this product, you must agree to install and configure IBM Tivoli License Manager for IBM Software, in accordance with the IBM Tivoli License Manager publications, and to enable the collection of program use data on all eligible machines subject to sub-capacity terms.
For those machines running programs with sub capacity licensing terms, you must use IBM Tivoli License Manager for IBM Software to monitor program use and submit to IBM an IBM Use Report each calendar quarter. Multiple copies of IBM Tivoli License Manager for IBM Software or IBM Tivoli License Manager are not required. You can use more copies if you need them to support your operational environment, but only one copy is required to monitor all your sub-capacity licensed products.
Additionally, if this is the first product you have licensed under sub-capacity terms, you must agree to the terms of an attachment to your Passport Advantage or Passport Advantage Express contract and submit a new Passport Advantage enrollment form. First-time sub-capacity clients also have an opportunity to ensure a primary business contact is established for their contracts.

If you order (this product) under sub capacity terms, IBM Tivoli License Manager for IBM Software will be made available to you if you do not already have one. You must install and configure this tool for your sub-capacity products. Alternately, you can use Tivoli License Manager. Once the license manager software is installed, you will be required to register online. (IBM may need to contact you in order to finalize the registration process.) You must monitor program use on a continuous basis with an IBM Tivoli License Manager for IBM Software and submit IBM Use Reports to IBM on a calendar quarterly basis.

The information provided in this announcement letter is for reference and convenience purposes only. Licensing
IBM International Program License Agreement including the License Information document and PoE govern your use of the program. PoEs are required for all authorized use.

Warranty
IBM warrants that when the program is used in the specified operating environment, it will conform to its specifications. The warranty applies only to the unmodified portion of the program. IBM does not warrant uninterrupted or error-free operation of the program or that IBM will correct all program defects. You are responsible for the results obtained from the use of the program.
IBM provides you with access to IBM databases containing information on known program defects, defect corrections, restrictions, and bypasses at no additional charge. Consult the IBM Software Support Handbook for further information at
IBM will maintain this information for at least one year after the original licensee acquires the program (warranty period).
Program technical support
Technical support of a program product will be available for a minimum of five years from the general availability date, as long as your Software Maintenance is in effect. This technical support allows you to obtain assistance (via telephone or electronic means) from IBM for product-specific, task-oriented questions regarding the installation and operation of the program product. Software Maintenance also provides you with access to updates, releases, and versions of the program. You will be notified, via announcement letter, of discontinuance of support with 12 months' notice. If you require additional technical support from IBM, including an extension of support beyond the discontinuance date, contact your IBM representative or IBM Business Partner. This extension may be available for a fee.
Money-back guarantee
If for any reason you are dissatisfied with the program and you are the original licensee, you may obtain a refund of the amount you paid for it, if within 30 days of your invoice date you return the program and its PoE to the party from whom you obtained it. If you downloaded the program, you may contact the party from whom you acquired it for instructions on how to obtain the refund.
- For programs acquired under the IBM International Passport Advantage Agreement, this term applies only to your first acquisition of the program.
- For programs acquired under any of IBM's On/Off CoD software offerings, this term does not apply since these offerings apply to programs already acquired and in use by you.
Authorization for use on home/portable computer
The program may be stored on the primary machine and another machine, provided that the program is not in active use on both machines at the same time. You may not copy and use this program on another computer without paying additional license fees.

Software Subscription and Support (also referred to as Software Maintenance) applies
Yes. Software Subscription and Support (also referred to as Software Maintenance) is included with licenses purchased through Passport Advantage and Passport Advantage Express. Product upgrades and technical support are provided by the Software Subscription and Support (also referred to as Software Maintenance) offering as described in the Agreements. Product upgrades provide the latest versions and releases to entitled software and Technical Support provides voice and electronic access to IBM support organizations, worldwide.
IBM includes one year of Software Subscription and Support (also referred to as Software Maintenance) with each program license acquired. The initial period of Software Subscription and Support (also referred to as Software Maintenance) can be extended by the purchase of a renewal option, if available.
While your Software Subscription and Support (also referred to as Software Maintenance) is in effect, IBM provides you assistance for your routine, short duration installation and usage (how-to) questions, and code-related questions. IBM provides assistance via telephone and, if available, electronic access, to your information systems (IS) technical support personnel during the normal business hours (published prime shift hours) of your IBM support center. (This assistance is not available to your end users.) IBM provides Severity 1 assistance 24 hours a day, 7 days a week. For additional details, consult your IBM Software Support Handbook at
Software Subscription and Support (also referred to as Software Maintenance) does not include assistance for the design and development of applications, your use of programs in other than their specified operating environment, or failures caused by products for which IBM is not responsible under the applicable agreements.
